1. Definitions
In these Terms and Conditions, the following definitions apply:
- "We", "Us", "Our" or "Dubai Chocolates" refers to A&B van Staveren B.V. trading as Dubai Chocolates B2B.
- "Buyer" refers to the natural or legal person, firm, or company purchasing goods from Dubai Chocolates B2B.
- "Goods" refers to the products offered by Dubai Chocolates B2B for sale to B2B customers.
2. Applicability
These Terms and Conditions apply to all offers, orders, agreements, and other transactions between Dubai Chocolates B2B and its Buyers, unless explicitly agreed in writing otherwise. By placing an order via Dubai Chocolates B2B, the Buyer agrees to these Terms and Conditions.
3. Pricing
All prices listed on our website are exclusive of VAT and other applicable taxes, unless stated otherwise. Prices are subject to change without prior notice. Once an order has been confirmed, the price will not change for that specific order.
4. Orders and Order Confirmation
Orders are placed via our B2B portal. The Buyer will receive a confirmation email once the order has been successfully placed. Dubai Chocolates B2B reserves the right to decline or cancel an order, even after confirmation, but before shipment. If an order is canceled, the Buyer will be notified immediately, and any payment will be refunded.
5. Payment Terms
All payments must be made according to the terms provided at checkout. Unless otherwise agreed, full prepayment is required before the order is processed. Dubai Chocolates offers the following payment methods:
- Bank Transfer
- Credit Card (Visa, MasterCard, etc.)
- PayPal (if available)
In case of late payments or outstanding invoices, Dubai Chocolates reserves the right to delay or suspend further shipments until payment is received. Dubai Chocolates also reserves the right to charge interest on late payments at a rate of 1.5% per month.
6. Delivery and Shipping
Shipping terms and costs are shown at the point of order — refer to our Delivery Terms for more detailed information. All delivery times are estimates and are not guaranteed. Dubai Chocolates B2B cannot be held liable for any delays caused by third-party carriers or events beyond our control.
7. Transfer of Risk
Once the Goods have been handed over to the designated carrier, all risks of loss or damage transfer to the Buyer. It is the Buyer's responsibility to insure the shipment if necessary.
8. Inspection and Acceptance
It is the Buyer's responsibility to inspect the Goods upon receipt. Any complaints or visible defects must be reported within 48 hours of receiving the order, in writing. After this period, the Goods are deemed to have been accepted without reservation.
9. Returns and Warranty
Returns are only accepted in cases of demonstrable manufacturing defects. All return requests must be submitted in writing and must be pre-approved by Dubai Chocolates. Unauthorized returns will not be accepted, and any shipping costs for such unauthorized returns will be borne by the Buyer.
We do not provide warranties outside the standard shelf life of our products, unless explicitly stated. The Buyer is responsible for ensuring the Goods are stored properly to maintain their quality.
10. Intellectual Property
All intellectual property rights related to the Goods — such as trademarks, copyrights, and related materials — remain the property of Dubai Chocolates or its suppliers. No rights are granted to the Buyer to use these intellectual properties for commercial purposes without prior written consent.
11. Limitation of Liability
Dubai Chocolates B2B is not liable for:
- Indirect, incidental, or consequential damages.
- Loss of profit or business interruptions.
Dubai Chocolates' maximum liability for any claim arising from the sale of Goods is limited to the invoice amount of the respective order, with a limit of €5000.
12. Force Majeure
In cases of force majeure, including but not limited to natural disasters, pandemics, wars, strikes, government restrictions, or disruptions in the supply chain, Dubai Chocolates is relieved from its obligations under these Terms and Conditions. In such cases, the Buyer will be notified immediately, and both parties have the right to cancel the order without penalty.
13. Amendments to Terms
Dubai Chocolates B2B reserves the right to amend these Terms and Conditions at any time. Any changes will be posted on our B2B portal. By continuing to use our services after changes are made, the Buyer accepts the revised Terms and Conditions.
14. Applicable Law and Jurisdiction
These Terms and Conditions and all agreements between Dubai Chocolates B2B and its Buyers are governed by Dutch law. Any disputes arising from these Terms and Conditions or agreements shall be submitted to the competent court in the Netherlands.
